These Terms of Service ("Terms") govern your access to and use of the website and the services provided by Station Omega Ltd ("Station Omega", "we", "us" or "our"). By accessing our website, engaging our services, or placing an order, you agree to be bound by these Terms.

1. About us

Station Omega Ltd is a company registered in England & Wales (company number 16437410), with its registered office at 71–75 Shelton Street, Covent Garden, London, WC2H 9JQ, United Kingdom. We provide technology consulting, IT development, and ecommerce store services.

2. Services

The scope, deliverables, fees, and timelines for any engagement will be set out in a separate written proposal, statement of work, or order confirmation agreed between you and us. Where those documents conflict with these Terms, the specific engagement document takes precedence for that engagement.

3. Fees and payment

• All fees are quoted and payable in pounds sterling (GBP, £) unless otherwise stated.
• Unless agreed otherwise, invoices are due within 14 days of the invoice date.
• We may suspend services on overdue accounts after reasonable notice.
• Prices exclude VAT unless expressly stated; VAT is added where applicable.

4. Your responsibilities

You agree to provide accurate information, timely feedback, and any access or materials reasonably required for us to perform the services, and to use our services and website only for lawful purposes.

5. Intellectual property

Ownership of deliverables transfers to you upon full payment, unless the relevant engagement document states otherwise. We retain ownership of our pre-existing tools, know-how, and general methodologies.

6. Confidentiality

Each party agrees to keep the other party's confidential information confidential and to use it only for the purposes of the engagement.

7. Limitation of liability

Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded under English law. Subject to that, our total liability arising out of or in connection with an engagement will not exceed the fees paid by you for that engagement. We are not liable for indirect or consequential loss.

8. Termination

Either party may terminate an engagement as set out in the applicable engagement document, or immediately on written notice if the other party commits a material breach that is not remedied within 14 days.

9. Governing law

These Terms are governed by the laws of England & Wales, and the courts of England & Wales have exclusive jurisdiction over any dispute.
